Confirmation Statements
Every limited company must file a confirmation statement (the CS01) with Companies House at least once a year. It is a legal requirement that confirms your company’s registered details are accurate and up to date. Miss it, and your company can be struck off the register — with serious consequences for your business and your personal liability. Our London accountants file your confirmation statement on time, every time.
What a confirmation statement is
The confirmation statement replaced the annual return. It is a snapshot of your company’s key details at a given date — including your registered office, directors, shareholders, share capital and SIC codes. Filing it confirms to Companies House that the information they hold about your company is correct.
Unlike the annual return, you do not have to file on a fixed date each year. Instead, you must file at least once every 12 months, and you can file more often if details change. The statement is due within 14 days of your "made up date" — the date the snapshot is taken.
How we file your statement
We review your company’s public record and confirm its accuracy with you before filing. If any details have changed — a new shareholder, an updated SIC code, a change of registered office — we update them as part of the same filing, so your record is always current.
We then file the CS01 with Companies House well before the deadline, and we track your next made-up date so the statement is never missed. Filing late, or not at all, can lead to Companies House starting proceedings to strike your company off the register.
Why timely filing matters
A struck-off company ceases to exist as a legal entity: its assets pass to the Crown, its bank accounts are frozen, and directors can face personal liability. Filing your confirmation statement on time is the simplest way to protect your company’s legal status — and we make sure it always happens.
Frequently Asked Questions
How often must I file a confirmation statement?
At least once every 12 months. We track your made-up date and file well before the 14-day deadline so it is never missed.
What happens if I do not file?
Companies House can start proceedings to strike your company off the register, which freezes its assets and can leave directors personally liable. We prevent this.
Can I update company details in the statement?
Yes. If any details have changed, we update them as part of the same filing so your public record is always accurate.
What is a SIC code?
A SIC code describes your company’s principal business activity. We confirm the correct code is recorded and update it if your activities have changed.
